通常情況下信用證開(kāi)立流程首先是簽訂買(mǎi)賣(mài)合同,此后是開(kāi)立信用證的賬戶(hù),開(kāi)立信用證,在這一流程環(huán)節(jié)之中還會(huì)涉及到受益人獲悉所在地區(qū)銀行所給予的通知,此后賣(mài)方將履行合同將根據(jù)此前合同所確定好的相關(guān)內(nèi)容,將產(chǎn)品發(fā)給購(gòu)買(mǎi)方在這一過(guò)程中需要側(cè)重關(guān)注的是賣(mài)方履行合同發(fā)貨時(shí)間問(wèn)題,如果沒(méi)有明確信用證通知,就一定要將這一時(shí)間延后。
由于在相關(guān)外貿(mào)往來(lái)過(guò)程之中通常都是先將合同簽署,因此在交易過(guò)程中一些賣(mài)方會(huì)首先安排好發(fā)貨,在這一過(guò)程中所涉及的陸路運(yùn)輸費(fèi)用以及港口費(fèi)用和船只訂購(gòu)費(fèi)用很有可能由賣(mài)方承擔(dān),一旦涉及到對(duì)方信用證延緩提交,或者是因?yàn)槟承﹩?wèn)題根本未進(jìn)行通知狀態(tài),銷(xiāo)售方必然會(huì)受到經(jīng)濟(jì)損失,例如在港口存儲(chǔ)貨物付出的資本等等,所以在整個(gè)流程過(guò)程中,首先要關(guān)注好是否得到信用證通知,直到得到通知后才可安排發(fā)貨,而這樣的問(wèn)題在相關(guān)回函中一定要明確避免對(duì)方誤解。

在該回函中提到了“We hope you can complete the L/C in time and inform us in time by our local bank. We will arrange shipment for you immediately. If the L/C notice is delayed, we will not guarantee delivery within the stipulated contract time.” 這是非常關(guān)鍵的,在這其中提到了如果購(gòu)買(mǎi)方不在規(guī)定時(shí)間之內(nèi)完成信用證的辦理,那么銷(xiāo)售方將不會(huì)根據(jù)此前的合同進(jìn)行產(chǎn)品交易,也就是說(shuō)不會(huì)根據(jù)合同時(shí)間確定發(fā)貨,如果這一點(diǎn)不及時(shí)通知對(duì)方,那么對(duì)方企業(yè)有可能拖延。其實(shí)在外貿(mào)交易過(guò)程中和國(guó)內(nèi)交易在基本模式上沒(méi)有本質(zhì)的區(qū)別,一些國(guó)外企業(yè)也有著拖延的特點(diǎn),對(duì)于這樣的企業(yè)就要及時(shí)鞭策,避免其不履行責(zé)任,越早通知對(duì)方,對(duì)方越早進(jìn)行信用證的準(zhǔn)備,這樣對(duì)于后期的交易才不會(huì)造成負(fù)面影響,如果是在對(duì)方等待接貨時(shí)才對(duì)該企業(yè)進(jìn)行通知,恐怕對(duì)方企業(yè)會(huì)惱羞成怒,這對(duì)于交易達(dá)成而言沒(méi)有任何促進(jìn)效果可言。
當(dāng)然不同領(lǐng)域的公司在處理這一類(lèi)型問(wèn)題處理時(shí),也要根據(jù)公司所銷(xiāo)售產(chǎn)品的不同,或者根據(jù)其公司的經(jīng)營(yíng)模式不同而選擇不同的信用證種類(lèi)。例如Documentary Credit、Clean Credi、Irrevocable L/C等等。

此前有業(yè)務(wù)往來(lái)公司在辦理信用證時(shí)使用了光票信用證,而我公司相關(guān)規(guī)定中明確指出,在收取信用證時(shí)以跟單信用證為主,所以貴方在相關(guān)信用證辦理過(guò)程之中,希望能夠以跟單信用證為主,這樣能夠促成我們這筆交易的達(dá)成,避免不必要的時(shí)間消耗。
當(dāng)然如上只是一個(gè)模板,在實(shí)際交易往來(lái)過(guò)程中一些公司會(huì)根據(jù)自己的實(shí)際需求而使用不同的信用證,所以在模板方面可以照搬,但是在相關(guān)溝通過(guò)程之中,對(duì)于使用信用證的類(lèi)別必須提前進(jìn)行說(shuō)明,這是不變的,否則的話(huà)在對(duì)方?jīng)]有接到這樣的通知時(shí),如果辦理的相關(guān)類(lèi)別信用證并不符合該公司的需求,那么這筆交易就很難達(dá)成的,此外還要選擇好相應(yīng)的銀行,例如在本地區(qū)開(kāi)設(shè)的國(guó)外銀行或者是和國(guó)外某銀行相關(guān)業(yè)務(wù)往來(lái)密切的銀行等等,如果選擇不當(dāng),對(duì)于貿(mào)易方而言必然會(huì)產(chǎn)生弊端。
