    雙方在此同意/The Parties hereby reach the Agreement as follows

    ?

    1、??????????? 同意租賃/GRANT OF TENANCY

    ?

    在本租賃合同規(guī)定的條款和條件下,出租方同意出租,承租方同意承租中國 ???????,帶有本合同附件一中所列之附屬設(shè)施和電器的物業(yè)。(以下簡稱“物業(yè)”)。The Lessor shall let and lease and the Lessee shall hire and take lease from the Lessor the Property?? ???????????????????, equipped with the fixtures and appliances listed in Appendix 1, (hereinafter referred as the Property), under the terms and conditions provided for in this Lease Agreement.

    與出租方的所有權(quán)和使用權(quán)有關(guān)的證明文件和租賃許可證在本合同附件二中列明。The relevant documents and permits regarding the Lessor’s right of use and ownership are attached in Appendix 2.

    ?

    2、? 租賃期限/ TERM

    ?

    出租方與承租方一致同意合同租賃期為12個(gè)月,自2005? 月日至 年 月 日止, 如另一方?jīng)]有違約行為,承租方和出租方中的任何一方都不得提前退租。Both the Lessor and the Lessee hereof agree that the lease period shall last for a period of twelve months from ??to ??Neither party of the Lessor and Lessee may early terminate this Agreement in case the other party abides by the Agreement.

    本合同期限屆滿后,如出租方仍繼續(xù)出租物業(yè)的,承租方享有優(yōu)先續(xù)約并繼續(xù)承租“物業(yè)”的權(quán)利,但必須在初始期滿前壹(1)個(gè)月通知出租方。優(yōu)先租期(初始期后的租期)內(nèi)的租金由雙方按照初始期到期時(shí)物業(yè)的市場租金價(jià)格另行約定。雙方將簽訂含有續(xù)租條件和條款的租賃合同。Upon the expiration of the lease period the Lessee has a priority to extend the Lease Agreement with notifying the Lessor at least one (1) month prior to the expiring date. The rent for the renewed period shall be decided by both Parties according to the current market rental value of the Property at that time and the Parties shall enter into a new agreement for the extended term.

    合同期內(nèi),出租方必須保證承租方為唯一的、合法的“物業(yè)”使用者。同時(shí),未經(jīng)出租方事先同意,承租方不得擅自將“物業(yè)”轉(zhuǎn)租給任何第三人。For the whole duration of this Lease Agreement, the Lessor shall be responsible for ensuring the Lessee’s privilege of using the Property exclusively, and shall obtain the Leasing Permit on the said Property. At the same time, the Lessee shall not have the right to transfer or assign the Lease of Property or sublease the Property to any third party without the prior consent of the Lessor. The Property is for residential use only.

    ?

    承租方之雇員及/或承租方之聯(lián)營或下屬公司之雇員應(yīng)將出租房屋用作住宅。說明常住人員?? ???????????,并依法及時(shí)到公安機(jī)關(guān)辦理暫住證。若承租方需變更使用人,須提前通知出租方,并依法及時(shí)到公安機(jī)關(guān)辦理暫住證。Employee of the Lessee and/or employee of the associate company or subsidiary company shall use the Property only for residential purpose. The lessee shall explain use people permanently, and go to the public security bureau to handle the temporary residence permit in time in accordance with the law. If the Lessee intends to change the occupant of the Property, the Lessee must keep the Lessor informed in go to the public security bureau to handle the temporary residence permit in time in accordance with the law

    3、? 保證金/SECURITY DEPOSIT

    ?

    承租方須以向出租方支付保證金,為人民幣 ????元整(RMB)。The Lessee shall pay to the Lessor a Security Deposit of RMB ?????。

    ?

    在本租賃協(xié)議屆滿或提前終止時(shí),出租方將檢查“物業(yè)”是否存在因承租方的使用不當(dāng)而造成的損壞。Upon expiration or early termination of this Lease, the Lessor shall inspect the Property for any damages resulting from the Lessee’s improper use.

    ?

    賠償該損壞的費(fèi)用(不包括正常的磨損及折舊),如果有,將按照雙方達(dá)成的書面賠償協(xié)議從保證金中予以扣除。于上述檢查完畢之日或雙方達(dá)成扣除金額(如有)的協(xié)議之日起拾伍(15)天內(nèi),出租方應(yīng)將該“保證金”以承租方當(dāng)時(shí)支付給出租方的相同幣種返還給承租方(不計(jì)利息)。如出租方逾期歸還保證金,則承租方有權(quán)按0.1%每天的罰息率就遲延返還的保證金要求出租方支付罰息,直至出租方返還“保證金”。After deducting compensation, in accordance with the written agreement on compensation entered into by the Parties, for the aforesaid losses (fair wear and tear excluded) and all the expenses payable by the Lessor, the Lessor shall, within fifteen (15) days following the date of inspection or the execution of the agreement on compensation, refund such Security Deposit to the Lessee (without interest) in the same currency as it was paid. For any delayed refund of Security Deposit, the Lessee has the right to charge an interest of 0.1% per day on the delayed payment, until the said Deposit is refunded.

    如“保證金”不足以賠償因上述損壞而發(fā)生的費(fèi)用,承租方應(yīng)按雙方就賠償達(dá)成的書面協(xié)議補(bǔ)償不足部分。In case the deposit is not enough to cover the cost of damages, the Lessee shall make up for the amount uncovered according to the written agreement on compensation reached between the Parties.

    4、?? 租金支付/PAYMENT OF RENT

    ?

    1)承租方應(yīng)在本協(xié)議簽署后十五(15)天內(nèi)支付本協(xié)議第三條所規(guī)定之“保證金”。The Lessee shall pay the Lessor, the Security Deposit referred to in Article 3 within fifteen (15) days after signing the Agreement.

    ?

    2)承租方向出租方支付的月租金為人民幣 ?RMB),其中包括物業(yè)管理費(fèi),保安系統(tǒng)費(fèi),有線電視費(fèi) 。The total monthly rent to be paid by the Lessee to the Lessor is RMB ????(RMB). The monthly rent is including the Management fee, security alarm fee,CATV fee .

    ?

    3)承租方應(yīng)按季支付租金,每季為3個(gè)月,自租期開始后起算。

    第一期租金在租賃期開始后十五天內(nèi)支付,以后每期租金在上一季度的最后一個(gè)月提前支付。如承租方遲延支付租金,則承租方應(yīng)按本協(xié)議第十條的規(guī)定承擔(dān)違約責(zé)任。

    The Lessee shall pay the Lessor the rent quarterly. A quarter means three months and will commence with the term of lease.

    The first installment of the rent shall be paid within 15 days after the term of lease begins. The lessee shall pay the future installment of the rent in the last month of the previous quarter in advance. ?In case of any delay in paying the rent by the Lessee, ?the lessee shall bear breach liability in accordance with Article 10 in the Agreement.

    ?

    4)“保證金”和月租金將由承租方以人民幣(幣種)并以現(xiàn)金支付或通過銀行轉(zhuǎn)帳支付至出租方指定的以下帳戶,轉(zhuǎn)帳之日即視作付款之日。Payment of the Security Deposit and rental hereinafter shall be made in RMB to the Lessor’s bank account as stated below by cash or bank transfer. The date of transfer shall be the date of payment.

    雙方同意,承租方向上述帳戶付款視為是向出租方支付租金。As agreed by the Parties, the payment by the Lessee to the account here above shall be deemed as the payment of the rent by the Lessee to the Lessor

    5、? 承租方的義務(wù)/OBLIGATIONS OF THE LESSEE

    ?

    ???? 承租方同意在協(xié)議期內(nèi)履行以下義務(wù)/The Lessee agrees with the Lessor for the duration of the Tenancy as follows

    a??? 按時(shí)支付租金。

    b?? 按照獨(dú)立計(jì)表的讀數(shù)和國家相關(guān)事業(yè)單位的帳單按時(shí)支付各項(xiàng)公用事業(yè)費(fèi),其它費(fèi)用,即水、電、和電話費(fèi),必須直接支付給相關(guān)的事業(yè)單位。Pay other utilities fee, i.e. water, electricity, and telephone fee in time to relevant bureau according to the parameter of independent meter and the bills issued by the relevant bureau..

    ?

    c??? 未經(jīng)出租方的事先書面同意,不得擅自安裝、移動(dòng)和改變附屬設(shè)施及添加、改變“物業(yè)”的結(jié)構(gòu)。Not to erect, install or remove any fixtures or partitions or to make any structural additions or alterations to the Property without the prior written consent of the Lessor .

    ?

    d??? 應(yīng)嚴(yán)格遵守中華人民共和國的有關(guān)法律、法規(guī),尤其禁將“物業(yè)”用于任何不合法或不道德的目的。To strictly comply with and adhere to all the laws, regulations and decrees of the People Republic of China applicable to the use of Property and specifically not to permit the Property to be used for any unlawful or immoral purpose.

    ?

    e?? 有義務(wù)(合情理的)保護(hù)“物業(yè)”免受自然災(zāi)害或自然現(xiàn)象如風(fēng)、雨等類似情況帶來的損害,應(yīng)適當(dāng)?shù)厥褂梦飿I(yè)和內(nèi)部財(cái)產(chǎn)。承租方應(yīng)對因不當(dāng)使用造成物業(yè)地?fù)p害和破壞承擔(dān)全部責(zé)任。To take all reasonable precaution to protect the interior of the Property against damages from wind, rain and the like, and to use its best efforts to make sure that the door(s) and the windows of the Property are locked while the Lessee is away from the Property for a long period of time.

    6、??? 出租方的義務(wù)/OBLIGATIONS OF THE LESSOR

    ?

    a)出租方在此聲明及保證其享有合法地位出租此“物業(yè)”予承租方,基于本協(xié)議而租賃此“物業(yè)”之事宜,出租方已取得有關(guān)政府部門的批準(zhǔn),包括抵押權(quán)人的同意(如該“物業(yè)”以用作抵押)。出租方于本協(xié)議中所作出的聲明及保證,如有錯(cuò)誤、虛假或違反者,出租方須就承租方因此而遭受的任何損失、損害、支出及其他一切相關(guān)費(fèi)用作出全部賠償。The Lessor hereby represents and warrants that it has the necessary legal capacity to lease the property to the Lessee. The Lessor has also obtained all the necessary authorizations from all relevant authorities in the People’s Republic of China in respect of this Agreement and the leasing of the property to the Lessee, including government approval and/or mortgagee consent (if applicable). The Lessor shall indemnify and keep the Lessee harmless from and against all and any losses, damages, expenses and cost in case of any misrepresentation, false representation or violation of warranty.

    ?

    b)如在本協(xié)議期內(nèi),該“物業(yè)”發(fā)生所有權(quán)全部或部分轉(zhuǎn)移或其他影響承租方權(quán)益的情形時(shí),出租方應(yīng)確保受讓人或其它可能使承租方的權(quán)益受到影響的第三方將繼續(xù)遵守本協(xié)議的規(guī)定。否則的話,出租方應(yīng)負(fù)責(zé)補(bǔ)償承租方由此所遭受的損失、損害、支出及其他一切相關(guān)費(fèi)用。If during the term of the tenancy, all or part of the leased property is transferred or the Lessee’s right to use leased property is affected, the Lessor shall ensure that transferee or third party having effect on the Lessee’s right to use the leased property will continue to abide by the terms of this Agreement. Otherwise, the Lessor will be liable to indemnify the Lessee for all and any losses, damages, expenses or other cost that the Lessee may suffer.

    ?

    c)出租方將負(fù)責(zé)維修“物業(yè)”的結(jié)構(gòu)、房頂、進(jìn)出物業(yè)的排水、上、下水管道、電路以保證其在整個(gè)協(xié)議期內(nèi)處于良好的適租狀態(tài)。但因承租方的不恰當(dāng)使用而造成的除外。The Lessor agrees to maintain the structure, roof, drains, pipes and cables leading into or from the Property in good and rentable conditions at all times during the term of this Lease Agreement. Apart from ?the abnormal use of the Lessee.

    d)出租方同意保證提供給承租方的家電性能良好,對于并非由于承租方的不恰當(dāng)使用而造成的損壞,承租方應(yīng)以恰當(dāng)?shù)姆绞酵ㄖ鲎夥交蚱浯砣艘笃鋵矣秒娖鬟M(jìn)行維修,不能修復(fù)時(shí)出租方應(yīng)負(fù)責(zé)更換。出租方應(yīng)保證承租方安寧地使用該“物業(yè)”。The Lessor guarantees the Lessee to supply the Lessee with appliances in good working order. In the event of a breakdown of the appliances, not due to the abnormal use of the Lessee, the Lessee shall properly inform the Lessor or its Agent, requiring the repairs of the appliances. In case of being unable to repair, the Lessor shall be liable to change the above said broken appliances. The Lessor should guarantee a quiet enjoyment of the Property to the Lessee.

    ?

    ( e ) 出租方應(yīng)向承租方提供以下各文件的復(fù)印件/The Lessor shall provide the Lessee a copy of

    -??????? 購房發(fā)票復(fù)印件/ a copy of the invoice for the Property

    -??????? 授權(quán)書原件/ Certificate of authorization original paper;

    -??????? 房東和代理人身份證復(fù)印件/ a copy of the ID Card of the Lessor and the agent and the original of the proxy.

    7、???? 出租方向承租方提供的服務(wù)/ THE LESSOR’S DUTIES TO PROVIDE SERVICES

    ?

    1)提供冷暖分體空調(diào)、(1)門IDD電話、烤爐、供水、煤氣、供電(30A)、以保證承租方穩(wěn)定的使用。Providing the Lessee with split heating/cooling air conditioning, at least one (1) IDD telephone lines, stove with oven, water, gas and electricity (30A) in order not to hamper the Lessee in his quiet enjoyment of the Property.

    ?

    2)提供給承租方的物業(yè)管理包括:二十四(24)小時(shí)保安,整體維護(hù),垃圾清運(yùn)及對于公用區(qū)域和通道的清潔。Providing the Lessee with Property Management including a twenty-four (24) hours security guard, a general maintenance, rubbish clearing, and a clean up of the common area and drive way.

    3)提供裝修和照明(裝修要求詳見附件1)。Providing decoration and lighting (decoration requirement refers to appendix 1)

    ?

    8??????????????????? 稅收/TAX

    ?

    出租方應(yīng)支付與其出租物業(yè)的行為有關(guān)的各項(xiàng)稅款,并在收到租金及物業(yè)管理費(fèi)后的十(10)日內(nèi),向承租方提供正式稅務(wù)發(fā)票。The Lessor shall pay the tax related to the lease of the Property and supply the Lessee with the tax receipt for the rent and management fees the lessee has paid, within 10 days after the Lessor has received the payment of the rent.

    ?

    9??????????????????? 違約責(zé)任/ LIABILITY FOR BREACH OF AGREEMENT

    ?

    1?????? 雙方應(yīng)在整個(gè)租賃期限內(nèi)嚴(yán)格遵守本協(xié)議的各項(xiàng)規(guī)定,任何一方有違反協(xié)議的行為的,應(yīng)就其違約行為給對方造成的一切經(jīng)濟(jì)損失,包括訴訟費(fèi)、律師費(fèi)及其他導(dǎo)致的費(fèi)用。對于違約行為雙方均有過錯(cuò)的,應(yīng)由雙方分別承擔(dān)違約責(zé)任。The Parties shall strictly comply with provisions hereof in the whole term of the lease. In case of any breach of the Lease Agreement by a Party, it shall compensate all the economic loss of the other party caused by the breach behavior including court fee, attorney fee and other expenses incurred. In case of the fault of both Parties, each party shall shoulder part of the liability as the case maybe.

    ?

    2?????? 協(xié)議任何一方違反本協(xié)議項(xiàng)下之義務(wù)時(shí),另一方則有權(quán)拒絕或中止履行其協(xié)議項(xiàng)下相對應(yīng)之義務(wù),并向違約方發(fā)出書面通知,要求其在收到該書面通知后的十個(gè)工作日內(nèi)糾正其違約行為。如果違約方在收到對方向其發(fā)出的書面通知后的十個(gè)工作日內(nèi)仍未糾正其行為,守約方有權(quán)向違約方提前五個(gè)工作日發(fā)出書面通知(以下簡稱為終止通知)立即終止本協(xié)議。?????? In case any party fails to fulfill its duties and obligations under this Agreement, the other party is entitled to a refusal or suspension of its performance of subsequent obligations. Such non-defaulting party shall send a written notice to the defaulting party, requiring it to remedy to cure its default within ten working days after its receipt of such notice. Should the defaulting still fails to remedy its default within such prescribed period of ten working days, the non-defaulting party will have the right to immediately terminate this Agreement by sending a written notice five working days in prior (hereinafter referred to as the Notice of Termination).

    3?????? 如果由于承租方的違約行為,出租方依前述第二款的規(guī)定終止本協(xié)議,承租方必須在終止通知載明之限期內(nèi)交還該“物業(yè)”。同時(shí)出租方有權(quán)沒收承租方依第3條的規(guī)定繳付的保證金。如果該保證金不足以賠償其因此而遭受的損失,出租方有權(quán)向承租方進(jìn)一步索賠。In case the Lessor terminates the Agreement for the Lessee’s default as per Sub-article 2 hereof, the Lessee must return the Property to the Lessor on or before the date specified in the Notice of Termination. Furthermore, the Lessor has the right to forfeit the Security Deposit the Lessee has paid according to Article 3 hereof, without prejudice to its right to claim for compensation should such Security Deposit is not sufficient to compensate its losses.

    ?

    4?????? 如果由于出租方的違約行為,承租方依前述第二款的規(guī)定終止本協(xié)議,出租方應(yīng)在承租方向其交還物業(yè)前或交還物業(yè)時(shí)向承租方返還保證金并同時(shí)向承租方支付相當(dāng)于保證金的數(shù)額作為違約金。如果該違約金不足以賠償承租方因此而遭受的損失,承租方有權(quán)向出租方進(jìn)一步索賠。In case the Lessee terminates the Agreement for the Lessor’s default according to Sub-article 2 hereof, the Lessor shall refund the Security Deposit (without any interest) to the Lessee on or before the Lessee returns the Property to the Lessor, and shall also pay a compensation equivalent to the deposit to the Lessee as a penalty without prejudice to the Lessee’s right to claim for compensation should such penalty is not sufficient to compensate the losses.

    ?

    10、?????????????? 不可抗力/FORCE MAJEURE

    ?

    因發(fā)生地震、臺(tái)風(fēng)、暴雨、大火、戰(zhàn)爭及暴亂等其他不能預(yù)見的,其發(fā)生和后果不能防止或避免的不可抗力致任何一方不能履行協(xié)議時(shí),遇有上述不可抗力的一方應(yīng)立即用任何可能的方式通知另一方,并應(yīng)在十五(15)天內(nèi),提供不可抗力詳情及協(xié)議不能履行,或者部分不能履行,或者需推遲履行的證明文件。該證明文件須由上述不可抗力事件或行為所在地的公證機(jī)關(guān)出具。Should any party be prevented from executing the Lease Agreement due to such incidents as earthquake, typhoon, storm, fire disaster, war, rebellion and other unpredictable Force Majeure it shall notify the other party by any way and submit, within fifteen (15) days, the detailed situations of Force Majeure and the certificate of the reason that the Lease Agreement or part of the Lease Agreement cannot be executed or it needed to be executed later. The certificate shall be issued by the local notary office of the party confronted with the Force Majeure.

    11、?????????????? 解決爭議/ SETTLEMENT OF DISPUTES

    ?

    本協(xié)議的訂立,解釋,履行和爭議的解決,均受中華人民共和國的法律管轄。The conclusion, construe, execution and settlement of disputes of this Lease Agreement are governed by the laws of People’s Republic of China

    ?

    所有與本協(xié)議或履行本協(xié)議有關(guān)的爭議,應(yīng)通過友好協(xié)商解決。協(xié)商不成時(shí),任何一方均可向?? 的主管部門申請解決。All disputes in connection with this Lease Agreement or the execution thereof shall be settled through friendly negotiations. In case no settlement can be reached through negotiation between the Parties, any party, if possible, can apply to solve disputes to the relevant responsible institution of

    12、?????????????? 其他/MISCELLANEOUS

    出租方與承租方雙方一致同意并接受/The Parties hereof further agree as follows

    ?

    1)代表各方在合同上簽字的代表已取得合法的授權(quán),并有權(quán)簽署本合同,履行協(xié)議義務(wù)。Person signing this Lease Agreement on its behalf has been duly authorized by it, and has all requisite power and authority to execute and deliver this Lease Agreement and to perform its obligations hereinafter.

    ?

    2)此合同受中華人民共和國的有關(guān)法律、法規(guī)的管轄,如本合同任何條款與之相違背,則該條款視作無效,且自始無效。This Lease Agreement shall be governed by and construed in accordance with the law of the People Republic of China.

    ?

    3)本租賃合同及附件有中、英文對照版本,兩種文本具有同等效力。This Lease Agreement and appendixes are drafted in Chinese and English, both of which are equally authentic

    ?

    4)本租賃合同和附件中、英文版本各一式二(2)份,雙方各執(zhí)一(1)份中英文版本。This Lease agreement and appendixes are made in three (3) original counterparts in both English and Chinese. Each party shall hold one (1) set in both Chinese and English.

    ?

    5)本合同和附件(視為是租賃合同的一部分)構(gòu)成雙方達(dá)成的完整的合同并將取代此前雙方簽訂的任何協(xié)議。This Lease Agreement and appendixes (which shall be deemed to be part of this Lease Agreement) constitute the entire agreement between the Parties with respect to the subject matter hereof and supersede all prior agreements between the Parties.
